Spacelift Intelligence Terms of Use (AI Addendum)

By enabling Spacelift AI Feature like Spacelift Intelligence or provisioning Spacelift Flows, you confirm that you have read, understood, and accepted these AI Terms on behalf of your organization, and that you are duly authorized to do so. If the Customer does not agree with all the terms of these AI Terms, the Customer should not accept the Terms and use the AI Features.

THESE AI TERMS, TOGETHER WITH THE AGREEMENT SET FORTH AND SETTLE THE TERMS ACCORDING TO WHICH THE CUSTOMER MAY USE THE AI FEATURES.

1. What is Spacelift Intelligence?

Spacelift Intelligence is a collection of AI-powered features within the Spacelift platform, designed to help DevOps and Platform Engineering teams design, provision, troubleshoot, and monitor infrastructure through natural language interaction. Spacelift Intelligence may include, but is not limited to, features such as Intent, Run Summarization, and Infra Assistant, as well as the AI-powered features available within Spacelift Flows (including the Spacelift Flows AI assistant and AI Blocks) ("AI Features" or "Spacelift Intelligence").

In Spacelift Deploy, Spacelift Intelligence is disabled by default. A Customer admin may enable it for their organization by explicitly opting in and accepting these Terms. In Spacelift Flows, accepting these AI Terms is part of provisioning Spacelift Flows, and the Spacelift Flows AI assistant is enabled once Spacelift Flows is provisioned.

2. Acceptance of Terms

These Terms of Use (“AI Terms”) supplement and are incorporated by reference into any written agreement and/or general Terms and Conditions available at https://docs.spacelift.io/legal/terms between Spacelift, Inc. (“Spacelift”) and the customer entity or individual (“Customer”) (the “Agreement”). Capitalized terms not defined in these AI Terms, including Customer Data, Spacelift Deploy, Spacelift Flows, Authorized Users and Prohibited Data, have the meaning given in the Agreement or, where the Agreement does not define them, in Spacelift’s Terms and Conditions, or Spacelift’s Data Processing Agreement available at https://docs.spacelift.io/legal/dpa (“DPA”).

In the event of a conflict between the Agreement and these AI Terms with respect to Spacelift Intelligence, these AI Terms shall govern.

By accepting these AI Terms, Customer also accepts the Data Processing Agreement available at https://docs.spacelift.io/legal/dpa for the Processing of personal data in Spacelift Platform.

3. AI Model Providers

Spacelift Intelligence supports two modes of AI model access.

Spacelift-hosted AI. Spacelift provides access to AI models hosted and managed by Spacelift, powered by third-party providers. Spacelift Intelligence is powered by third-party AI models (“AI Model Providers”).

Current AI Model Providers. The current AI Model Providers and the infrastructure services through which Spacelift accesses them are listed below and at https://trust.spacelift.io/subprocessors:

Use of Spacelift-hosted AI consumes Spacelift credits and is subject to usage limits as communicated by Spacelift from time to time. Spacelift may add, update or change or discontinue any AI Model Providers AI model or Spacelift-Hosted AI feature. By using Spacelift-hosted AI, Customer agrees to comply with the applicable terms of the relevant AI Model Provider(s), as linked above or in the Trust Center.

Bring Your Own Model (BYOM). Customer may connect its own LLM provider and use it within the Spacelift platform. AI blocks in Spacelift Flows always run on AI provider credentials that Customer adds and are BYOM. When using BYOM, Customer’s data is processed by the Customer’s chosen provider, and the applicable terms of that provider govern such processing. Spacelift has no control over, and accepts no responsibility for, the performance, availability, security, or compliance of any Customer-provided model or its underlying provider. Customer is solely responsible for ensuring that its use of any third-party model complies with applicable laws, regulations, and the terms of the relevant provider. Without limiting any indemnification obligations under the Agreement, Customer shall defend, indemnify, and hold harmless Spacelift from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Customer’s use of a Customer-provided model, including any breach of the applicable third-party provider’s terms or applicable law. For self-hosted deployments of Spacelift Flows, use of BYOM is mandatory: Customer must provide its own AI Model provider credentials for the AI Features in Spacelift Flows to operate, and the processing of related Input and Output is governed exclusively by Customer’s direct agreement with the applicable AI Model Provider.

In either mode, Spacelift does not control or guarantee the performance of the underlying AI models. You acknowledge that: (i) you are solely responsible for reviewing, validating, and testing all Outputs, (ii) you must apply appropriate human oversight and professional judgment to all AI Features recommendations, (iii) Spacelift makes no representations or warranties regarding the accuracy, completeness, or suitability of Outputs or third-party AI Model performance, (iv) your use of Outputs is entirely at your own risk and discretion, and (v) the underlying AI Models are provided by third parties and Spacelift has no control over their operation, availability, or performance.

4. Pricing and Access

Spacelift Intelligence is currently provided free of charge. Spacelift reserves the right to introduce fees for Spacelift Intelligence, or any part thereof, at any time. If Spacelift decides to charge for Spacelift Intelligence, it will provide reasonable prior notice to existing Customers. Any such fees will be set out in Customer’s Order Form or, for self-service Subscription Plans, on the pricing page at https://spacelift.io/pricing. Free access does not guarantee free access in the future and creates no obligation on Spacelift to continue providing the feature at no cost.

Access to Spacelift Intelligence is at Spacelift’s sole discretion and may be modified, suspended, or discontinued at any time, with or without prior notice.

5. Data Use and Privacy

Customer Data submitted through Spacelift Intelligence is processed solely to deliver the requested AI Features, in accordance with DPA, or the data processing agreement executed between the parties, and applicable data protection laws. Where Customer uses Spacelift-hosted AI, Spacelift does not use Customer Data to train or improve AI models and does not permit its AI Model Providers to use Customer Data for that purpose. Where Customer uses BYOM, data processing is governed by the terms of the Customer’s chosen provider, and Spacelift has no control over, and no responsibility for, the data practices of that provider. Customer retains full ownership of all Customer Data at all times.

In Spacelift Flows, the AI assistant can access the Customer Data available in Customer’s Spacelift Flows organization, including flows, blocks, installed apps, events and Event History, and sends the Input it needs to the AI Model Provider. It can propose actions, such as changing flows or installing apps, which it carries out only after approval by an Authorized User or under approval settings chosen by an Authorized User.

Input, Output and Data Sharing. Input and Output are Customer Data. Spacelift may share Customer Data with the Third-Party Services Customer connects as needed for them to work with Spacelift Intelligence, in line with Customer’s configuration, or to address service, security, support, or technical issues.

6. Acceptable Use

The restrictions in this Section supplement the acceptable use obligations in the Agreement. In the event of conflict, the more restrictive provision applies.

Customer shall use Spacelift Intelligence solely in connection with infrastructure-as-code configurations, templates, policies, and related management activities, or, where accessed through Spacelift Flows, workflow automation configurations, integrations, and related orchestration activities. Customer shall not input Prohibited Data through the AI Features, or include authentication credentials in prompts. When using AI Features, Customer shall not input personal data beyond what is needed to use the feature. Customer shall not use Spacelift Intelligence for any purpose prohibited under applicable law or regulation, including applicable AI regulations such as the EU AI Act, nor in any manner that would constitute a prohibited or high-risk AI use case thereunder. Customer shall not reverse engineer the underlying AI models, generate abusive requests that degrade service performance, or use Spacelift Intelligence for competitive analysis or development of competing products.

Customer is responsible for ensuring that all authorized users within its organization comply with these AI Terms.

7. Intellectual Property

Spacelift and its AI Model Providers retain all intellectual property rights in and to Spacelift Intelligence, including the underlying models, algorithms, and infrastructure. Nothing in these AI Terms transfers any such rights to Customer. Spacelift grants Customer a limited, non-exclusive, non-transferable, revocable right to use Spacelift Intelligence solely for Customer’s internal business purposes, subject to the Agreement and these AI Terms. Any feedback, suggestions, or ideas provided by Customer regarding Spacelift Intelligence may be used by Spacelift freely and without restriction or compensation.

8. Accuracy and Customer Responsibility

AI-generated Outputs are provided on an “as-is” basis. Spacelift does not warrant that outputs will be accurate, complete, or fit for any particular purpose. AI models may generate inaccurate, incomplete, or misleading content. Customer is solely responsible for reviewing, validating, and acting upon any AI-generated content, recommendations, or configurations prior to implementation. Spacelift does not claim any ownership, intellectual property rights, or proprietary interest in any outputs generated through Customer’s use of the AI Features. Customer must apply appropriate human oversight and professional judgment when reviewing, validating, and testing any Output before relying on it or acting upon it, particularly where AI Features are used to trigger or configure automated actions, including within Spacelift Flows. Actions that the Spacelift Flows AI assistant carries out after approval by an Authorized User, or under approval settings chosen by an Authorized User, are Customer’s actions, and Customer is responsible for them. Customer’s use of and reliance on any Output is entirely at Customer’s own risk and discretion. The underlying AI Models are provided and operated by third parties, and Spacelift has no control over, and accepts no responsibility for, their operation, availability, or performance.

Customer’s Flows and Actions. Customer is responsible for designing, configuring, testing, and approving its flows, for the credentials it stores in Spacelift Flows, and for all actions its flows execute, including in Third-Party Services.

Customer bears responsibility for ensuring that Customer Data is accurate, of appropriate quality, proper in content, and compliant with applicable laws, as well as for any operations initiated by such Customer Data. Customer confirms and guarantees that: (i) possesses all required authorizations, consents, and approvals necessary to transfer Customer Data via the Spacelift Platform and to enable any operations triggered by Customer Data within the Spacelift Platform, as well as to otherwise utilize, handle, and/or maintain Customer Data on the Spacelift Platform, and (ii) the Customer Data itself, along with its transfer, handling, storage, and utilization as authorized by Customer under this Agreement, will not breach any applicable legal requirements, regulatory standards, the provisions of this Agreement, or the terms governing any relevant Third-Party Service.

9. Warranties and Liability

All disclaimers of warranties and limitations of liability set out in the Agreement apply equally to Spacelift Intelligence and its outputs. To the extent not addressed in the Agreement, Spacelift Intelligence is provided “as is” and “as available” without warranties of any kind, express or implied.

10. Self-Hosted

Self-Hosted Deployments. If Customer uses the Spacelift Platform, including Spacelift Flows and any AI Features, in a self-hosted deployment, the provisions on self-hosted deployments in the Agreement (Customer’s executed master services agreement or order form or, if none, Spacelift’s Terms and Conditions) and in the Documentation for self-hosted deployments apply. Customer must also follow the Documentation for self-hosted deployments. In addition:

(a) AI Features work only with AI model provider credentials supplied by Customer, and the processing of related Input and Output is governed by Customer’s agreement with that provider;

(b) Spacelift receives only information about Customer’s use of the Spacelift Platform, as set out in the Agreement or through reporting tools that Spacelift enables to Customer (“Usage Data”). If Customer enables a feature that sends other data to Spacelift, or agrees to it in writing, the DPA applies to that data; and

(c) provisions of these AI Terms that concern Spacelift storing or processing Customer Data apply only to data that Spacelift receives under point (b).

11. General

These AI Terms are governed by the same governing law and jurisdiction as the Agreement. If any provision of these AI Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. Spacelift may update these AI Terms from time to time; continued use of Spacelift Intelligence following such updates constitutes acceptance of the revised terms.
